This directory provides access to the European Central Bank's official list of financial vehicle corporations (FVCs) operating in the euro area. FVCs are special purpose entities created to carry out securitisation transactions, separating the credit risk of the underlying assets from the originating institution. The data is published quarterly under Regulation (EU) No 1075/2013 and covers the reporting population across participating member states.
Each record includes the entity's Legal Entity Identifier (LEI) where available, nature of securitisation (traditional, synthetic, insurance-linked), registered address, and managing company details. A Legal Entity Identifier, commonly referred to as an LEI number or LEI code, is a 20-character alphanumeric reference that uniquely identifies any legal entity involved in financial transactions. For securitisation vehicles such as FVCs, holding an active LEI is essential for regulatory compliance, counterparty identification, and transparency in the structured finance market.
The primary regulation governing this directory requires national central banks to maintain a list of FVCs for statistical purposes. The LEI code serves as the standard identifier for linking FVC reporting data across ECB statistical systems, enabling accurate monitoring of the euro area securitisation market.
The EU Securitisation Regulation establishes a general framework for securitisation, including requirements for simple, transparent, and standardised (STS) securitisations. Securitisation Special Purpose Entities (SSPEs), which include FVCs, must be identified by their LEI number in all regulatory notifications to ESMA and in the STS securitisation register.
When FVCs enter into derivative contracts to hedge the risks of their securitisation portfolios, the European Market Infrastructure Regulation requires that all counterparties report these trades using a valid Legal Entity Identifier. FVCs without a current LEI code cannot meet their EMIR trade reporting obligations.
The CRR governs how originating banks must treat securitised exposures for capital adequacy purposes. Regulatory reporting under COREP and asset encumbrance frameworks uses the LEI number to identify the FVC or SSPE holding the transferred assets, ensuring supervisors can trace exposures across the banking system.
Under the Securitisation Regulation, originators and sponsors must report loan-level data to ESMA-registered securitisation repositories. The LEI is the mandatory identifier for all parties to a securitisation, including the issuing FVC, the originator, the sponsor, and the servicer. Without a valid LEI code, a vehicle cannot be properly registered in the European DataWarehouse or similar repositories.
The ECB's analytical credit dataset requires granular credit data reporting from euro area banks. When securitised loans are transferred to an FVC, the vehicle's LEI number is used to identify the new creditor in AnaCredit submissions, maintaining a complete chain of credit risk transfer visibility.
